Modern Player is a video player
It supplies no channels, no films, no series and no other content of any kind. A reseller sells licences for the application only. Nothing in these terms, in the panel or in any material we give you makes Modern Player, or a reseller acting under its name, a provider of media content.
These terms are available in English only. In the application you confirm that you have read and accept them; the version you accepted and the time of acceptance are recorded with your application and your account.
1. Parties and scope
These Reseller Terms ("Terms") are an agreement between Modern Player ("we", "us") and the person or company whose reseller application we approve ("you", "the reseller"). They govern your participation in the Modern Player Partner Program: the reseller panel, the purchase of credits, the activation and management of licences for your customers, and the use of the Modern Player name and logo in your sales.
The Terms of Use of the application and the Privacy Policy apply alongside these Terms. Where they differ, these Terms govern your activity as a reseller; the Terms of Use govern every use of the application, including by your customers.
2. What you sell
You sell licences for the Modern Player application — the right to use the app on one device for one year or for the device's lifetime. You do not sell, and we do not supply, any of the following, and you may not offer them together with Modern Player as if they were part of it: television channels, films, series, subscriptions, playlists, streams or access to any media content.
You confirm that you understand that Modern Player plays a playlist the customer already has from a source they chose, that we have no relationship with any such source, and that we cannot see, filter or control what a playlist contains.
3. Becoming and staying a reseller
- An application does not make you a reseller. We review every application by hand and may approve it, ask for more information, or decline it without giving a reason.
- You must give true and complete information in your application and keep your contact details current in the panel.
- Your account is personal to you or your company. You may not share, sell, rent or transfer it, and you may not let anyone else activate licences with it.
- Your password is made by the system and shown to you once. You may not change it yourself; if you lose it, we send you a new activation link. You are responsible for every action taken with your account.
4. Credits, prices and payment
- Licences are activated with credits. One credit activates a one-year licence; three credits activate a lifetime licence. We may change these numbers for future purchases with notice in the panel; credits you already hold keep the value they had when you bought them.
- Credits are bought in packs. The price per credit depends on the size of the pack and is shown in the panel at the moment of purchase. Your first purchase is the start pack; selling opens when it is paid.
- Credits are prepaid and non-refundable. They do not expire. They cannot be exchanged for money, transferred to another reseller or used for anything other than activating licences.
- Prices in the panel are in euro and exclude any tax you may owe in your country. You are responsible for your own taxes, invoicing and bookkeeping towards your customers.
- You set your own selling price to your customers. You may not state or imply that your price is set, approved or guaranteed by Modern Player.
5. Activating and managing licences
- You activate a licence for a specific device, identified by the Device ID the application shows. You are responsible for entering the right Device ID; a licence activated on a wrong device is spent.
- A licence you activated may be moved to another device of the same customer at most once in 30 days, through the panel.
- You may revoke a licence you activated only where you have a legitimate reason towards your customer (for example non-payment). We may ask you to explain a revocation.
- Licences bought by a customer directly on modernplayer.tv are not yours to manage.
- We keep the application working as described on modernplayer.tv for the duration of a licence. We do not guarantee that any particular playlist, stream or format will play — that depends on the customer's source, which is outside our control and yours.
6. Conduct and brand rules
You agree that you will not:
- present Modern Player, or yourself as its reseller, as a provider, seller or source of television channels, films, series, subscriptions or playlists;
- advertise, bundle or describe any content — authorised or not — as part of Modern Player, or use the Modern Player name, logo or screenshots in advertising for such content;
- claim features, guarantees, exclusivity or endorsements the application does not have;
- alter the name or logo, or combine them with other brand names in a way that suggests a joint product;
- register domain names, social accounts or company names containing "Modern Player" or confusingly similar names;
- use the application, the panel or your account to break the law of any country in which you or your customers are located.
You may describe yourself as an "authorised Modern Player reseller", use the name and logo as supplied in the brand material we give you, and link to modernplayer.tv.
7. Your customers
You are responsible for your relationship with your customers: what you promise them, how you charge them, and the support you give them for what you sold. You will tell every customer, before they buy, that Modern Player is a video player that plays a playlist they already have, and that no content is included. We provide support for the application itself through modernplayer.tv.
You will handle your customers' personal data lawfully. The panel stores a customer's name and Device ID so that you can manage their licence; you may not use the panel to store any other personal data.
8. Suspension and termination
- We may suspend your account without notice if we have reason to believe you broke section 2, 3 or 6, and we may terminate it if the breach is confirmed or repeated. While suspended you cannot sign in or activate licences.
- You may end your participation at any time by writing to us. Unused credits are not refunded.
- Licences already activated for your customers are not affected by a suspension or termination of your account; they run to the end of their term as sold.
- We may end the Partner Program as a whole with 60 days' notice in the panel; credits unused at the end of that period are refunded at the price you paid.
9. Liability
We provide the panel and the application as they are. To the extent the law allows, we are not liable for lost profit, lost customers or any indirect loss arising from your participation in the Partner Program, and our total liability towards you in any year is limited to the amount you paid us for credits in that year. Nothing in these Terms limits liability that cannot be limited by law.
You will indemnify us against claims by your customers or third parties that arise from a breach of these Terms by you — in particular from presenting Modern Player as a content provider or from content you offered under our name.
10. Changes
We may update these Terms. The current version is always at modernplayer.tv/reseller-terms and carries a version number. Material changes are announced in the panel at least 30 days before they take effect; continuing to use the panel after that date is acceptance of the new version.
11. Law and contact
These Terms are governed by the law of the country in which Modern Player is established, without regard to conflict-of-law rules, and disputes are brought before the courts of that country unless mandatory law gives you another forum.
